Last updated 19 October 2026. For clients, these terms apply from the start date in your quote or signed agreement. These terms govern every Thynkverse product and service. By signing a quote, order form or agreement, or by using a Thynkverse product, your company agrees to them.
1. Who we are
Thynkverse (Pty) Ltd, registration number 2022/727212/07, Bay View Road, Wynberg, Cape Town, Western Cape, South Africa ("Thynkverse", "we", "us"). Website: thynkverse.co.za. WhatsApp: +27 82 683 6364. Email: accounts@thynkverse.co.za. We are not registered for VAT.
"You" or "the Client" means the company that buys or uses our products, and "Users" means the people the Client allows to use them.
2. What makes up the agreement
The agreement between us is made up of, in this order of priority if they conflict:
- Any signed agreement between us.
- The quote or order form you accepted.
- The product section in part B of these terms for the product you use.
- The general terms in part A.
- The Privacy Policy and the Refund Policy.
Part A: General terms
3. Accounts and Users
- Our products are for businesses. Users must be 18 or older.
- We create the Client's first Company Admin. The Company Admin creates and removes the Client's other Users.
- The Client is responsible for everything done under its accounts, and must keep passwords, link codes and devices secure.
- Tell us straight away if you suspect an account is being misused.
4. Licence
- We grant the Client a non-exclusive, non-transferable licence to use the products it pays for, for the agreed term, for its own internal business.
- Licences are issued per company, per User seat and, where stated, per device. They are managed through Super Control, our licensing system.
- You may not copy, resell, sub-license, reverse engineer or share access to the products, or use them to build a competing product.
- We do not supply source code unless a signed agreement says so.
5. Your responsibilities
The Client is responsible for:
- Using the products lawfully and only for its own business.
- Its own regulatory duties, including registration under the National Credit Act where it offers debt counselling, and its duties as the "responsible party" under POPIA for the personal information it puts into our products.
- Having a lawful basis, and where needed consent, for every person whose information it processes or messages through our products.
- Following the terms of the third-party services it connects, including Microsoft 365, WhatsApp, credit bureaus, the NCR's systems and any dialer.
- Checking results before relying on them (see clause 11).
6. Client data and confidentiality
- The Client owns all data it puts into our products ("Client Data").
- For iThynk CRM, Stride and Chatto, Client Data is stored in the Client's own Microsoft 365 environment, which the Client controls.
- Where we process Client Data, we act only on the Client's instructions, as an "operator" under POPIA. The operator commitments in the Privacy Policy form part of these terms.
- Each party will keep the other's confidential information confidential, and use it only for this agreement. This survives the end of the agreement.
7. Fees and payment
- Prices are in South African rand (ZAR). As we are not VAT registered, no VAT is charged.
- Subscriptions are invoiced monthly in advance. Setup, training and project fees are invoiced as set out in the quote.
- Invoices are payable within 7 days by EFT, unless the quote says otherwise.
- If an invoice is unpaid 14 days after its due date, we may suspend access after giving 5 business days' written notice.
- We may change subscription prices with 30 days' written notice. You may cancel before the new price applies.
8. Releases, support and availability
- Every change goes through TEST and DEMO before it reaches LIVE.
- Support hours: Monday to Friday, 09:00 to 16:00, excluding South African public holidays.
- We aim to respond to support requests within 1 business day, and to urgent LIVE faults within 4 business hours.
- We may carry out scheduled maintenance, with at least 24 hours' notice where it affects LIVE use.
- We aim for high availability, but cannot guarantee uninterrupted service, especially where a product depends on a third-party service.
9. Suspension and termination
- We may suspend access immediately if there is a security risk, misuse, or a breach of clause 4 or 5, and will tell you why.
- Either party may end a subscription with 30 days' written notice.
- Either party may end the agreement immediately if the other materially breaches it and does not fix the breach within 14 days of written notice.
- When the agreement ends, licences are revoked and Users lose access. Client Data stored in the Client's own environment stays with the Client. For data we host (such as ThynkSign), you may export it within 90 days, after which we delete it.
10. Intellectual property
- Thynkverse owns its software, designs, documentation, the Thynkverse brand and its characters, including Tivi. Nothing in this agreement transfers that ownership.
- For custom work, the Client owns the deliverables made specifically for it once paid in full. Our reusable tools, components and know-how stay ours, and the Client receives a licence to use them as part of the deliverable.
11. Results, warranties and disclaimers
- We provide our products with reasonable skill and care.
- Our products support decisions. They do not replace professional judgment. Results such as debt review eligibility, DHS checks, extracted credit report data and automated messages must be checked by a qualified person before the Client relies on them.
- We are not responsible for the availability or accuracy of third-party services, including Microsoft 365, WhatsApp, credit bureaus and the NCR's systems.
- Apart from what these terms say, the products are provided "as is", to the extent the law allows.
12. Limitation of liability
- Neither party is liable for indirect or consequential loss, including lost profit or lost data that could have been restored from a backup.
- Our total liability under this agreement is limited to the fees the Client paid in the 3 months before the event that caused the claim.
- Nothing limits liability that cannot be limited by law, including for gross negligence or fraud, or a consumer's rights under the Consumer Protection Act.
13. Third-party services
Some products connect to services we do not control. Your use of them is governed by their own terms. If a third party changes or withdraws its service, we will try to provide a workaround, but this is not a breach of our agreement.
14. Changes to these terms
We may update these terms. We will give at least 30 days' notice of changes that affect you materially. If you do not accept a change, you may end your subscription before it applies.
15. Disputes and governing law
- South African law applies.
- The parties will first try to resolve a dispute by negotiation for 14 days, then by mediation if both agree.
- Otherwise, the Western Cape Division of the High Court, or a magistrate's court with jurisdiction, will decide it.
16. Notices and electronic communication
- Notices may be given by email and are valid as written communication under ECTA.
- Notices to Thynkverse go to accounts@thynkverse.co.za. Our physical address is Bay View Road, Wynberg, Cape Town, Western Cape, South Africa.
17. General
- This agreement is the whole agreement between us on its subject.
- If a clause is invalid, the rest stays in force.
- A delay in enforcing a right is not a waiver of it.
- Neither party may transfer this agreement without the other's written consent, which will not be unreasonably withheld.
- Neither party is liable for delays caused by events beyond its reasonable control, such as load-shedding, natural disasters or third-party outages.
Part B: Product terms
These add to part A for each product.
iThynk CRM
- Client Data is stored in the Client's own Microsoft 365 and SharePoint environment. The Client must keep a valid Microsoft 365 subscription.
- Thynkverse creates the first Company Admin. Thynkverse does not access Client records unless the Client grants access for support.
- Workspaces, roles and features available depend on the licence purchased.
iThynk
- iThynk reads credit reports and Form 16 documents that the Client supplies and calculates whether a consumer may qualify for debt review.
- The Client must have the right to obtain and use each credit report, and the consumer's consent where required.
- Results are an aid to the debt counsellor's assessment, not a final assessment.
Stride
- Stride prepares and tracks debt review steps, including the NCR flag, 17.1, 17.2 and proposals.
- The registered debt counsellor remains responsible for every submission, deadline and legal step.
StatusFlow
- StatusFlow runs on the User's own computer and signs in to DHS with the User's own credentials.
- The Client must be entitled to use DHS and must follow its terms. Results are saved on the User's computer.
- Where a file is sent for later checking, results are emailed to the address the User gives.
Chatto
- Chatto sends and receives WhatsApp messages for the Client's business.
- The Client is responsible for following WhatsApp's terms and for having consent to message each person, including an opt-out for marketing messages.
- We are not liable if WhatsApp restricts or blocks the Client's number.
ThynkSign
- ThynkSign provides electronic signatures at sign.thynkverse.co.za, hosted by Thynkverse on the Client's behalf.
- Some documents cannot be signed electronically under ECTA, such as wills and agreements for the sale of immovable property, and some require an advanced electronic signature. The Client must decide whether ThynkSign is suitable for each document.
- Signed documents and audit trails are kept for the life of the account plus 90 days.
Thynkly
- Thynkly extensions count Lead Gen captures and dialer activity and send those counts to the Client's CRM and to Super Control.
- Each extension seat is licensed per User. A User counts only once linked with a code from the Supervisor tab.
- The Client must have the right to use the systems the extension reads, and must tell its staff that their activity is counted.
Services and custom projects
- Scope, deliverables, timelines and fees are set out in the quote.
- Work outside the agreed scope is quoted separately before we start it.
- Delivery dates depend on the Client supplying information and approvals on time.
